Terms of service

These terms are an agreement between [Registered company name] (“Resandhi”, “we”, “us”) and the business that signs up for Resandhi (“you”, the “merchant”). By creating an account or using the service you accept them on behalf of your business. If you do not agree, please do not use the service.

1. The service

Resandhi is software that answers your customers on your WhatsApp Business number. It reads the product list you connect (a Google Sheet, an Excel file or a Shopify store), answers questions, builds carts, creates orders, sends payment links and takes return requests, following the policies you set. You can see every conversation in your inbox, take over from the agent at any time, and hand back when you are done.

Services outside Resandhi — such as WhatsApp, payment gateways, Shopify, Google, and email or SMS providers — are connected through “connectors”. Those services are provided by their own companies under their own terms, which you accept separately when you connect them.

2. Your account

  • You must be at least 18 and able to act for the business you sign up. The details you give us must be accurate and kept up to date.
  • You are responsible for everything done through your account, including by team members you invite. Keep sign-in codes and API keys private and tell us at once if you think your account has been misused.
  • You may only connect a WhatsApp number, catalogue or payment account that your business owns or is authorised to use.

3. You remain the seller

The agent writes its answers from the catalogue, prices, stock and policies you provide. You are the seller of record for every sale made through it: the contract of sale is between you and your customer, and you are responsible for your products, prices, taxes, invoices to your customers, delivery, returns, refunds and customer service, and for complying with consumer-protection and e-commerce rules that apply to you.

Resandhi checks in code that any price, stock number or delivery time the agent states matches your data, and hands the conversation to you when it cannot answer. But the agent can only be as right as the information you give it. Please keep your catalogue and policies accurate and review the conversations the app flags for you.

The agent cannot approve returns, offer discounts you have not set, or change an amount or address without the customer confirming it. Decisions of that kind stay with you.

4. Acceptable use

You agree that you will not use Resandhi to:

  • break Meta’s WhatsApp Business Terms, WhatsApp Business Messaging Policy or WhatsApp Commerce Policy;
  • sell or promote products or services that Meta’s Commerce Policy prohibits or that are illegal in India or where your customers are — for example weapons, drugs, tobacco, alcohol, adult products, live animals, medical products that need a prescription, or counterfeit goods. The service may flag such items when it reads your catalogue;
  • send spam, bulk unsolicited messages or marketing to people who have not opted in, or keep messaging someone who has replied STOP;
  • mislead customers about who they are dealing with, or about prices or terms;
  • collect card numbers, passwords or other sensitive data through the chat — payments must go through a payment gateway’s own page or link;
  • upload content that infringes someone else’s rights, or that is unlawful, abusive or harmful;
  • try to get around the service’s safety checks or usage limits, access another merchant’s data, probe or attack our systems, or resell the service without our written agreement.

5. WhatsApp and Meta

WhatsApp is provided by Meta, which is independent of Resandhi. Your use of WhatsApp, including your number, display name, quality rating and message templates, is governed by Meta’s terms and policies. Meta may approve or reject templates, limit messaging, or suspend a number, and we cannot overrule it. To protect your number, the service may pause outbound template messages if Meta rates your number’s quality low.

We record a customer’s opt-in for every template message you send. You are responsible for obtaining that opt-in lawfully.

6. Plans, trial and billing

  • Free trial. New accounts get a 7-day free trial. No card is needed, and nothing is charged unless you choose a plan.
  • Monthly plans. Plans are billed monthly in advance and renew automatically until cancelled. In India we bill through Razorpay Subscriptions (including UPI Autopay); outside India through Stripe (card).
  • Taxes. Prices exclude GST, which is added to your invoice.
  • WhatsApp charges. Meta charges for some WhatsApp conversations. We pass these through to you at cost, without a mark-up.
  • Changing plan. An upgrade applies immediately and you pay the pro-rated difference for the rest of the month. A downgrade applies from your next renewal.
  • Usage above your plan is charged at the overage rate shown on the pricing page.
  • Price changes. We will give you at least 30 days’ notice before a price change applies to your plan.
  • Unpaid invoices. If a payment fails and is not resolved after we notify you, we may pause the agent until it is.

Refunds are covered by our refund policy.

7. Your data

Your catalogue, your policies and your customers’ conversations belong to you. You give us permission to use them only to provide the service to you. For your customers’ personal data, you are the data fiduciary and we act as your data processor, as explained in our privacy policy and DPDP notice. You are responsible for having a lawful basis to process your customers’ data and for your own privacy notice to them.

You can export your data at any time. When you close your account, we delete it as the privacy policy describes.

8. Our property

Resandhi’s software, prompts, design and brand belong to us. We give you a non-exclusive, non-transferable right to use the service while your account is active. If you send us feedback or suggestions, we may use them freely.

9. Availability and changes

We work to keep Resandhi running at all times, but we do not promise it will be uninterrupted or error-free. Planned maintenance, problems with WhatsApp, AI providers or other connected services, and events outside our control can affect it. We improve the service continually; if we remove a feature you rely on, we will tell you in advance.

10. Suspension and termination

  • You can cancel any time in the app. Cancelling stops the next renewal; the service runs until the end of the period you have paid for.
  • We may suspend or close an account that breaks these terms, puts customers or other merchants at risk, or leaves invoices unpaid. Where we reasonably can, we will warn you first and give you a chance to fix the problem.
  • After your account closes you can ask us to export your data for 30 days, after which it is deleted as the privacy policy describes.

11. Disclaimer

The agent uses AI to write its replies. It follows your data and our checks, but it can still make mistakes, misunderstand a customer, or hand a conversation to you when you would rather it had answered. Apart from the promises in these terms, the service is provided “as is”, and to the extent the law allows we disclaim any other warranties, including that it will suit a particular purpose.

12. Limitation of liability

To the extent the law allows:

  • neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue, business or goodwill;
  • our total liability for all claims arising from the service is limited to the fees you paid us in the 12 months before the event that gave rise to the claim;
  • we are not responsible for the acts or failures of WhatsApp, payment gateways or other services we do not control.

Nothing in these terms limits liability that cannot be limited by law, such as for fraud.

13. Your responsibility to us

If a third party brings a claim against us because of your products, your catalogue content, your dealings with your customers, or your breach of these terms or of the law, you will cover our reasonable costs and losses from that claim.

14. Changes to these terms

We may update these terms. We will tell you about significant changes by email or in the app at least 30 days before they take effect. If you keep using the service after that, the new terms apply; if you do not agree, you may cancel before they do.

15. Governing law and disputes

These terms are governed by the laws of India. We will first try to resolve any dispute with you by talking. If that does not work, the courts at [City], India have exclusive jurisdiction.
